The Board of
Directors of Darco Water Technologies Limited
("the Company") is pleased to announce
that
(1) all resolutions in respect of the matters
contained in the Notice of Annual General
Meeting("AGM") dated 6 April 2006,
circulated earlier to the shareholders, were duly
passed at the AGM held on 25 April 2006.
(2) Mr Robert Wong Kwan Seng who was re-elected as a
Director of the Company at the Annual General
Meeting will remain as Chairman of the Audit
Committee and is considered to be independent for
the purposes of Rule 704(8) of the Listing Manual of
the Singapore Exchange Securities Trading Limited.
(3) Mr Siow Chee Keong who was re-elected as a
Director of the Company at the Annual General
Meeting will remain as member of the Audit Committee
and is considered to be independent for the purposes
of Rule 704(8) of the Listing Manual of the
Singapore Exchange Securities Trading Limited.

Heather Tan is currently Head of Darco's application engineers
group, responsible for the water system treatment process. She
coordinates technical and commercial matters between the company
and prospective customers. Ms Tan graduated from the University
of Melbourne, with a 1st Class Honours degree in Chemical
Engineering. Obtaining a place on the Dean's Honours role, she
has a publication in her name in the Journal of Applied Polymer
Science for her research efforts on polymerization kinetics.
Prior to joining Darco, she held several short-term positions as
a researcher with Orica Adhesives and Resins in Australia,
Engineering Trainee in Agilent Technologies Malaysia, and was a
Facilitator in Melody Learning Centre Penang. |

million.
Shanghai Darco Engineering Company Limited is 100%
owned by Darco Engineering Pte Ltd.
The additional investment is funded by internal
resources and is not expected to have any material
impact on the earnings per share and net tangible
assets of the Company for the financial year ending
31 December 2006.
None of the substantial shareholders or the
directors of the Company has any interest, direct or
indirect, in the above transaction.
